1. What we do

Rellim PayKonnect (the "Platform") is an online tool operated by Rellim Kid Kare Konnect, LLC ("we", "us", "our") that lets substitute childcare workers create invoices for services performed at licensed childcare centers ("Daycares"), and lets those Daycares approve and pay those invoices electronically. Payment processing is handled by Stripe, Inc.

We are a payment and record-keeping platform. We are not a staffing agency, an employer, a childcare provider, or a licensed financial institution.

2. Your account

You must be at least 18 years old and legally able to enter contracts to use the Platform.

You are responsible for keeping your login credentials secret and for all activity that happens under your account. Notify us immediately at info@rellimkidkarekonnect.com if you believe your account has been compromised.

You agree to provide accurate, current, and complete information when you register and to keep it updated.

3. Prohibited use

You will not use the Platform to send or receive payments for services that were not actually rendered, to launder money, to evade taxes, to defraud other users, or to violate any law.

You will not attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to any part of the Platform.

We may suspend or terminate any account that we reasonably believe has violated these terms, with or without prior notice. If we terminate your account for cause, any pending payouts or fees may be held pending investigation.

4. Payments and fees

Substitutes create invoices. Daycares approve and pay them. The Platform charges a fee to the Daycare on each paid invoice; the current fee is shown on the invoice before the Daycare authorizes payment. The Substitute always receives the full approved subtotal (the fee is added on top, paid by the Daycare).

All payments are processed by Stripe under Stripe's own terms of service and privacy policy, which the Substitute additionally accepts when connecting a payout account. We do not store card numbers, bank account numbers, or Social Security numbers.

If a payment is refunded or reversed (including by chargeback), the corresponding portion of the platform fee is also reversed. See the Payment Terms document for details.

5. No employment relationship

Substitutes who use the Platform are independent contractors. They are not employees, agents, or partners of Rellim Kid Kare Konnect, LLC. The Platform does not control, direct, or supervise the work Substitutes perform for Daycares.

Daycares who hire Substitutes through the Platform are solely responsible for verifying qualifications, running background checks, providing supervision, and complying with all applicable childcare licensing, minimum wage, and labor laws.

6. Disclaimer of warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the maximum extent permitted by law, in no event shall Rellim Kid Kare Konnect, LLC, its owners, employees, or agents be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the Platform.

Our total aggregate liability for any claim arising out of or related to the Platform shall not exceed the greater of (a) the total platform fees you have paid us in the twelve months immediately preceding the claim, or (b) one hundred U.S. dollars ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless Rellim Kid Kare Konnect, LLC and its owners, employees, and agents from any claim, loss, damage, liability, or expense (including reasonable attorney fees) arising from your use of the Platform, your violation of these terms, or your violation of any law or the rights of a third party.

9. Modifications

We may update these terms from time to time. When we make material changes we will post the new version at pay.rellimkidkarekonnect.com/terms and update the "Last updated" date. Continued use of the Platform after a change means you accept the updated terms. If you do not accept, stop using the Platform.

10. Governing law and dispute resolution

These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Any dispute arising out of or related to these terms or the Platform shall be resolved exclusively in the state or federal courts located in Rockdale County, Georgia, and you consent to personal jurisdiction there.

Where permitted by law, you and Rellim Kid Kare Konnect, LLC agree to bring claims against each other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
